1. Agreement to Terms

By accessing or using Pinna ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Pinna is a professional platform for freelancers to manage client relationships, projects, invoices, and deliverables through white-labeled client portals.

The Service includes but is not limited to:

• Project management tools
• Client portal generation and management
• Time tracking and invoicing
• File sharing and feedback systems
• Payment processing through Stripe
• Email notifications and communications

3. Account Registration

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By registering, you represent and warrant that you meet these requirements.

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information is accurate and current

Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion.

4. Subscription and Payment Terms

Pricing

Pinna offers subscription-based pricing with different tiers. Current pricing is available at usepinna.com/pricing.

Free Trial

New users receive a 14-day free trial. You will not be charged during the trial period. After the trial, your subscription will automatically begin unless you cancel before the trial ends.

Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is processed through Stripe
• All fees are non-refundable except as required by law
• We reserve the right to change our pricing with 30 days notice

Cancellation

You may cancel your subscription at any time through your billing settings. Cancellation will take effect at the end of your current billing period. You will retain access until that date.

5. User Content and Data

Your Content

You retain all rights to the content you upload, create, or share through the Service ("User Content"). By uploading User Content, you grant us a license to use, store, and display your content solely for the purpose of providing the Service.

Prohibited Content

You may not upload or share content that:

• Violates any law or regulation
• Infringes on intellectual property rights
• Contains malware or harmful code
• Is defamatory, obscene, or offensive
• Violates the privacy rights of others

Data Backup

While we maintain regular backups, you are responsible for maintaining your own backups of your User Content.

6. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Reverse engineer or decompile any part of the Service
• Use automated systems to access the Service without permission
• Resell or redistribute the Service
• Impersonate others or provide false information
• Harass, abuse, or harm other users

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by Pinna and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

8. Third-Party Services

The Service integrates with third-party services including:

• Stripe - Payment processing
• Supabase - Database and authentication
• Resend - Email delivery

Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the actions or policies of third-party services.

9. Disclaimers and Limitations of Liability

Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue the Service at any time.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINNA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pinna and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

11. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Arbitration

Any disputes arising from these Terms or the Service will be resolved through binding arbitration, except for claims that may be brought in small claims court.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
